Eli Lilly (LLY.N) announced on Monday that it will pay up to $2.88 billion in cash to purchase privately held Merida Biosciences, bolstering its immunology portfolio with an investigational treatment for autoimmune disorders connected to the thyroid.

With windfall earnings from the success of its weight-loss medications, Lilly has been on an acquisition binge. As the pharmaceutical firm seeks to go beyond obesity and diabetes, its deal spending in 2026 has surpassed that of previous years.

To specifically target antibodies that cause a variety of immunity-related disorders, Merida is creating a new class of precision therapies.

For autoimmune conditions such Graves’ disease and thyroid eye disease, its top medication candidate, MER511, is in the early stages of development.Francisco Ramírez-Valle, senior vise president of Lilly immunology research and early clinical development, stated, “We’re building our pipeline around therapies that meaningfully change the course of disease, not just its downstream effects.” “Merida’s lead program is designed to do exactly that.”

Although Lilly did not provide the specifics, she stated that the agreement for Merida involves an upfront sum and installments subject to reaching specific objectives. The acquisition is anticipated to finalize in the fourth quarter by the company.

According to analyst David Risinger of Leerink Partners, “we see this acquisition as further evidence of management’s intent to diversify Lilly’s pipeline beyond obesity.”

While thyroid eye disease can result in inflammation, eye bulging, double vision, and visual impairment, Graves’ disease causes an overactive thyroid gland to create extra hormone.

According to Lilly, preliminary findings indicated that MER511 had a good initial safety profile and significantly reduced the thyroid-stimulating antibodies associated with the illnesses.
